Terms of Service

1. Agreement

By using Rigor VC (“Service”), you agree to these Terms. If you don't agree, don't use the Service. “We,” “us,” and “our” refer to Rigor VC. “You” refers to you, the user.

2. What Rigor VC Is

Rigor VC is an AI-powered venture firm that provides:

  • Startup application review and screening
  • Real-time voice pitch sessions with AI investor personas
  • Written feedback and scoring
  • AI-generated reports (deck reviews, due diligence, competitor analysis, etc.)
  • A grant program for selected startups

All partner meetings and evaluations are conducted by artificial intelligence. There are no human investors on our calls. See our AI Disclosure for details.

3. Eligibility

You must be at least 18 years old and legally able to enter contracts. By submitting an application, you represent that the information you provide is truthful and that you have authority to represent the company described.

4. Accounts

Your account is created when you submit an application. Authentication is via email magic links — you are responsible for maintaining access to your email address. You may not share your account or transfer credits between accounts.

5. Application and Screening

  • Applications are reviewed by AI. We do not guarantee acceptance.
  • Screening scores are generated by large language models and may not perfectly reflect the merit of your startup.
  • We reserve the right to reject or deprioritize any application for any reason.
  • Reapplication is permitted after 30 days from a rejection.

6. Voice Sessions

  • All voice sessions are recorded and transcribed. By joining a session, you consent to recording.
  • Sessions are conducted via WebRTC in your browser. No software download is required.
  • You will be speaking with an AI partner, not a human. The AI may ask challenging questions. This is by design.
  • Session recordings and transcripts are stored and used to generate your feedback. They may also be used in anonymized, aggregated form to improve our AI models.
  • You may request deletion of your session recordings at any time (see Privacy Policy).

7. Credits and Payments

Purchasing Credits

  • Credits are purchased via Stripe Checkout in USD.
  • Credit packs: Starter (15/$15), Growth (35/$29), Pro (75/$50), Fundraise (175/$100).
  • Credits are added to your account immediately upon successful payment.

Using Credits

  • Credits are deducted when you book a paid session or request a report.
  • Credits are non-transferable between accounts.
  • Credits never expire.

Refund Policy

  • Full refund within 14 days of purchase if zero credits from that purchase have been used.
  • Once any credits from a purchase are spent, the purchase is non-refundable. No partial refunds.

Failed Reports

  • If an AI report fails to generate (timeout, error), credits are refunded automatically to your account.

8. Grant Program

  • Rigor VC offers grants of $5,000–$10,000 to selected startups.
  • Grants are prizes/awards, not investments. Grants carry no equity obligation.
  • Grant recipients also sign a Right of First Offer (ROFO) Side Letter granting Rigor VC the option to participate in the recipient's next priced funding round at a capped valuation. ROFO terms are specified in the Side Letter.
  • Grant selection is based on AI scoring with final human approval. We do not guarantee any specific number of grants per period.
  • Grant disbursement is via wire transfer or ACH to a bank account you provide.

9. Right of First Offer (ROFO)

  • The ROFO grants Rigor VC the option (not obligation) to invest in your next priced round.
  • ROFO terms (valuation cap, allocation, exercise window) are specified in the Side Letter signed at grant acceptance.
  • The ROFO is assignable by Rigor VC with notification to the startup.
  • If Rigor VC does not exercise the ROFO within the specified window, it expires with no consequence to the startup.

10. Disclaimer — Not Investment Advice

Rigor VC does not provide investment advice, legal advice, financial advice, or tax advice. All feedback, scores, reports, and recommendations are for informational and practice purposes only. They are generated by AI and may contain errors, inaccuracies, or hallucinations.

You should not rely on Rigor VC's output as a substitute for professional advisors (lawyers, accountants, financial advisors). Any decisions you make based on our feedback are your own responsibility.

11. Disclaimer — AI Limitations

  • AI-generated content may contain factual errors, outdated information, or hallucinations.
  • Scores and grades are generated by language models and are subjective approximations, not definitive assessments.
  • Competitor and market information in reports is based on the AI model's training data and may not reflect current reality.
  • The LLM Visibility Check queries external AI services and reports their responses. We do not control or guarantee the accuracy of those services.

12. Intellectual Property

  • Your content: You retain ownership of everything you submit (application, deck, session content). By submitting, you grant us a license to process, store, and analyze your content for the purpose of providing the Service.
  • Our content: Feedback, reports, scores, and all AI-generated output are provided to you for your use. You may share, publish, or use them however you wish.
  • Aggregated data: We may use anonymized, aggregated data from applications and sessions for trend reports, marketing content, and AI improvement. Individual company data is never shared without your explicit consent.

13. Limitation of Liability

To the maximum extent permitted by law, Rigor VC's total liability to you for all claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

14. Termination

  • You may delete your account at any time by emailing [email protected].
  • We may suspend or terminate your account for violation of these Terms, abuse of the platform, or at our discretion.
  • Unused credits on terminated accounts are forfeited unless termination is by us without cause (in which case, refund applies).

15. Changes

We may update these Terms. Material changes will be communicated via email. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA.
